PARTICIPAÇÃO SOCIETÁRIA E RESTRIÇÕES REGULATÓRIAS À LIVRE ESCOLHA DO OBJETO SOCIAL: O CASO DAS OPERADORAS DE PLANOS DE SAÚDE

RESUMO O presente texto analisa a possibilidade de participacao societaria das operadoras de planos de saude no quadro social de outras sociedades, em confronto com a regra do objeto exclusivo na saude suplementar. Para tanto, analisar-se-a o conceito de objeto social das sociedades empresarias, a participacao societaria enquanto atividade integrante do objeto social, bem como as diferentes finalidades da participacao societaria. Diante desses elementos, buscar-se-ao os limites para a restricao a livre iniciativa e os parâmetros para a atuacao regulatoria. ABSTRACT This paper examines the possibility of corporate interest of health insurance operators in others companies in front of the exclusive corporate object rule in Supplemental Health. It will analyze the concept of corporate object, as well as the corporate interest as constitutive activity of them. It will show the different purpose of the corporate interest.
